Statutes

Article 1.

Under the name of "Association for an Education in Cardiac Anaesthesia" a non-profit organisation has been created that is governed by this Constitution and by Articles 60 et seq of the Swiss Civil Code.

Article 2.

The aim of the association is to :

  • Promote the transfer of knowledge concerning anaesthesia for heart disease patients undergoing cardiac or non-cardiac surgery.
  • Give anaesthetists, in the first instance, but also all medical, paramedical or students involved in the care of this category of patient, physiopathological, hemodynamic and cardiological foundations, including echocardiography, on which they can base the treatment of patients with cardiac disease.
  • Publish in the form of a website called "Cardiac Anaesthesia Textbook" (CAT) or any other type of resource, useful and updated information in line with latest developments, for practitioners and students working with this category of patient.
  • Translate the "Précis d'Anesthésie Cardiaque" into English and any other relevant languages to reach the largest possible audience.
  • Guarantee free access to the CAT, free of charge, as well as its independence from commercial influence.
  • Find funds to pursue the association's objectives. 

Article 3.

The association headquarters is in Lausanne, in the Vaud canton. Its lifespan is unlimited.

Article 4.

The association's bodies are the committee and the general assembly. 

Article 5.

The Association’s resources consist of donations, bequests, support from universities in Switzerland and outside Switzerland, foundations and associations, and, if necessary, government subsidies. The funds are used in accordance with the social objective.

Article 6.

The association is made up of a committee and members co-opted by this committee. The committee consists of a chairman and four members.

Article 7.

Membership ceases by death, resignation or exclusion by the committee. The net assets of the association only refer to the commitments undertaken in its name. The personal liability of its members is excluded.

Article 8.

The General Assembly meets once a year and this includes all members. The General Assembly is validly constituted however many members are present. It determines the direction of the association and decides on the activity thereof. It is presided over by the Chair. The agenda of the so-called ordinary general meeting must include: approval of the minutes of the last general meeting, the committee report on the activities of the association during the period, accounting and auditor reports, approval of reports and accounts, the election of the accounts auditor.

Article 9.

The association is validly bound by the joint signatures of the Chair of the association and one other committee member.

Article 10.

The committee members act voluntarily and are entitled to compensation for actual costs and travel expenses. For activities outside the normal scope of their role, each committee member can receive appropriate recompense.
The committee appoints and dismisses the association's salaried employees and volunteers. It may entrust a temporary mandate to any person within or outside the association. 

Article 11.

An annual report on the association's accounts is drawn up by two members.

Article 12.

The dissolution of the association is decided by the committee. In the case of the dissolution of the association, the assets should be allocated to an association or foundation pursuing a public purpose similar to that of the association. It can also be attributed to the Confederation, the cantons, the municipalities as well as their institutions.
Under no circumstances shall the assets be returned to the founders or members, nor be used to their advantage in whole or in part, in any manner whatsoever.

These articles of the association were adopted by the constituent assembly of 31 October 2016
